REPRESENTATIVE TRANSACTIONS

 

Mergers and Acquisitions:

 

  • A developer and manufacturer of video conferencing software and equipment, in the sale of substantially all of its intellectual property assets. Total transaction value: $8,900,000.

 

  • A developer of construction management software, in the sale of all of its assets to a Canadian software company. Total transaction value: $2,500,000.

 

  • A San Diego-based retail software development company, in the acquisition of Escalate, Inc.  Total transaction value: $43,000,000.

 

  • A San Diego-based developer and manufacturer of GPS monitoring software and devices, in a merger with a publicly traded company Total transaction value: $3,500,000.

 

  • A developer of patient and hospital data tracking and measurement software, in the sale of all of its stock to a subsidiary of the Thomson Corporation. Total transaction value: $7,500,000 (including earnout).

 

  • An underground tank inspection and engineering company, in the acquisition of all of the assets of Champion Precision Testing, Inc. Total transaction value: $600,000.

 

  • An owner and operator of eldercare facilities, in the sale of all of its assets to CRC ED Treatment, Inc. Total Transaction value: $4,750,000.

 

  • A San Diego-based medical records and billing software development company, in the sale of substantially all of its assets. Total transaction value: $600,000 (cash, stock of the acquirer and earnout).

 

Intellectual Property Transactions:

 

  • A developer of neurocognitive software measurement tools, in the licensing of its software to the National Hockey League, the National Football League, Major League Baseball, U.S.A. Rugby, Bauer-Nike Hockey, various state sanctioned athletic leagues and school districts, the MAYO Clinic, Children’s Hospital of Philadelphia, Children’s Hospital of Atlanta and other healthcare providers.

 

  • A social networking company with a focus on bringing athletes and sponsors together, in various licensing, web development and hosting and software development matters. Examples include web development arrangements with Hansen Beverages (Monster Energy Drink), Dunlop Tires, Oakley, etc.

 

  • The U.S. operations of an international developer of job scheduling software in the following matters:

 

    • Drafted and negotiated a License and Distribution Agreement and a Global Marketing Agreement with SAP America, Inc.
    • Software License and Services Agreements with: Staples, Inc., Dow Chemical Company, Orbitz, Inc., H.J. Heinz Company, Paramount Pictures, Halliburton Energy Services, Inc., Bechtel Corporation, Tesoro Petroleum Companies, Inc., Ann Taylor, SanDisk, Lockheed Martin and other Fortune 500 companies.
    • Various Reseller Agreements covering the resale of the client's software in Canada, the Unites States and Brazil.

 

  • Be Here Corporation in the negotiation of a Patent Purchase Agreement for the sale of substantially all of Be Here’s patent and copyright portfolio ($12,000,000).

 

Financing Transactions:

 

  • A provider of hotel in-room video entertainment in various rounds of venture capital financing (Series A, B and C Preferred Stock) for a total of more than $15,000,000 in aggregate investment.

 

  • A social networking site in two separate Convertible Promissory Note financings (total of $2,000,000) and the Series B Preferred Stock financing ($1,750,000).

 

  • Be Here Corporation in its Series A, B and C Preferred Stock financings as well as a recapitalization of the company. Also represented the company in two separate Convertible Promissory Note financings as well ($20,000,000).

 

  • An intellectual property holding company in the preparation of various due diligence and disclosure documents in connection with the offer and sale of its Common Stock on the AIM Market of the London Stock Exchange.

 

  • A retail management software company in connection with the Loan and Security Agreement with Wells Fargo Capital Finance, as agent. Established, among other things, a revolving line of credit for the company of $20,000,000.

 

  • A consumer device company in a Series A Preferred Stock financing of $2,000,000 and Series B Preferred Stock financing that is ongoing.

 

  • A cell site lease administration company in various rounds of bank financing with Key Equipment Financing, Inc. and Key Bank National Association.
